Terms & Conditions

1. Definitions & About Us

"Peptigen Labs Ltd", "Peptigen Labs", "we", "us" and "our" refers to Peptigen Labs Ltd, a company incorporated in England & Wales (company number 17193157) with its registered office at 50 Princes Street, Ipswich, Suffolk, IP1 1RJ, trading in the United Kingdom as "Peptigen Labs" at peptigenlabs.co.uk (the "Website"). "You", "your", "Customer", "Buyer" means the individual or entity placing an order.

"Goods" means the research peptides, laboratory reagents and associated research materials listed on the Website. "Order" means any offer by you to purchase Goods. "Contract" means the binding agreement formed between you and Peptigen Labs Ltd as described in clause 3.

These Terms & Conditions ("Terms") apply to every Order placed on the Website. By placing an Order you confirm you have read, understood and agreed to these Terms in full.

2. Eligibility & Buyer Representations

To place an Order you must: (a) be aged 18 or over; (b) be a qualified researcher, laboratory technician, academic, scientific buyer or equivalent; (c) be ordering the Goods strictly for legitimate laboratory research purposes within an appropriate controlled research environment; and (d) have authority to bind the entity (if any) on whose behalf the Order is placed.

You represent and warrant that each of the statements in clause 2 is true at the time of Order and will remain true throughout your possession and use of the Goods. You accept that we rely on these representations when accepting your Order.

Peptigen Labs Ltd reserves the absolute right to decline, cancel, refund or investigate any Order where the intended use appears inconsistent with research use, where eligibility cannot reasonably be confirmed, or where we consider (acting reasonably) that supplying the Order may breach these Terms, any applicable law or any supplier, carrier or banking requirement.

3. Formation of Contract

All Goods displayed on the Website constitute an invitation to treat and do NOT constitute an offer capable of acceptance. Your Order constitutes an offer to purchase on these Terms.

Acceptance takes place when we send you an order confirmation email containing an order number. Prior to that point we may, acting reasonably, decline the Order for any lawful reason (including without limitation suspected non-research use, stock unavailability, pricing error, sanctions compliance or inability to verify payment).

A pending payment authorisation, automated acknowledgement of receipt, or stock decrement at checkout does not, of itself, constitute acceptance.

4. Research Use Only — Acknowledgement

All Goods are supplied STRICTLY for laboratory research use only. The Goods are NOT medicines, NOT medical devices, NOT food supplements, NOT cosmetics and NOT veterinary products. They are NOT intended for human or animal consumption, application, injection, inhalation, ingestion, implantation or administration of any kind, and are NOT intended to diagnose, treat, cure, mitigate or prevent any disease or condition.

By placing an Order you expressly acknowledge and accept that: (a) the Goods will be handled only by a qualified researcher in a controlled laboratory environment; (b) you assume full and exclusive responsibility for storage, handling, reconstitution, containment, disposal and ultimate use; (c) Peptigen Labs provides no guidance whatsoever on human or animal use, dosing, reconstitution, administration or therapeutic outcomes; and (d) you will keep the Goods out of reach of any person not qualified to handle research materials.

You agree that any use of the Goods other than strictly for laboratory research is a fundamental breach of these Terms, voids all express and implied warranties, and releases Peptigen Labs from any liability arising from such non-research use.

5. Prohibited Use & Buyer Undertakings

You shall NOT, and shall procure that no person under your control shall: (a) consume, ingest, inject, inhale, apply or administer the Goods to any human or animal; (b) resell, redistribute, repackage, relabel or offer the Goods for sale to consumers, members of the public or for any non-research purpose; (c) make any medical, therapeutic, cosmetic, performance, nutritional or human-use claim in connection with the Goods; (d) remove, alter or obscure any label, batch identifier, compliance marking or research-use warning on the Goods or their packaging; (e) export, re-export or supply the Goods in breach of any UK, EU, US or other applicable sanctions, export control or controlled-substance regime; or (f) use the Website, Goods or any related service for any fraudulent, unlawful or deceptive purpose.

Breach of this clause 5 is a material breach entitling Peptigen Labs to cancel the Contract immediately, refuse further Orders and pursue any remedies available at law or in equity.

6. Pricing

All prices are displayed in GBP (£) on the Website and are the prices payable by you at the point of checkout. The price at the point of checkout is the price that binds, subject only to clause 6(c).

Prices may change at any time without notice. Any change will not affect Contracts already formed.

In the rare event that a price is manifestly incorrect (for example an obvious typographical error), we may decline or cancel the Order and refund any sums paid, notwithstanding any earlier acknowledgement.

Shipping costs, where applicable, are displayed at checkout.

7. Payment — General

Payment is required and the amount payable must clear in full before Goods are released for dispatch. We currently accept two payment methods at checkout: (i) UK bank transfer via a regulated FCA-authorised Open Banking provider, and (ii) debit or credit card payments (Visa, Mastercard, American Express) via our regulated card payment service provider. The price displayed on the Website at the point of checkout is the price payable; no surcharge, fee or differential price is applied based on your chosen payment method (Payment Services Regulations 2017, Regulation 6A).

You warrant that the payment method used is lawfully yours to use, that you have authority to charge it, and that the billing details you provide match those held by your bank or card issuer. Submitting a payment method you are not authorised to use is a material breach of these Terms and may constitute a criminal offence.

Failed, declined, reversed or incomplete payments will cause the Order to be cancelled automatically; reserved stock is released back to general availability. Where payment is reversed AFTER dispatch (for example by chargeback), clause 7.4 applies.

7.1. Bank Transfer (Open Banking)

Bank transfers are processed through Fena Money Ltd or another FCA-authorised Open Banking provider. Authorisation occurs entirely within your own bank's secure environment. Peptigen Labs never sees, stores, transmits or processes your online-banking credentials, passcode, biometric data or one-time-password.

Bank-transfer payments settle within a few seconds and your Order is released for dispatch immediately on confirmation from the bank.

7.2. Card Payment — Authorisation, Processing & PCI-DSS

Card payments are processed by Global Pay Limited (and/or any successor card payment provider we appoint), a regulated card payment service provider, in compliance with the Payment Card Industry Data Security Standard (PCI-DSS). By submitting card details at checkout you authorise an immediate charge to your card for the full Order value at the time the Order is placed.

Card details entered at checkout are transmitted over TLS, encrypted on our server using industry-standard AES-256 encryption, and forwarded directly to our PCI-DSS compliant payment provider for authorisation. We do NOT persist, store, log, write to disk, share or otherwise retain raw card details on our systems. Card last-four digits and card brand (e.g. "VISA •••• 4242") may be retained against the Order for receipting, fraud-screening and refund purposes only.

Where the card issuer or scheme rules require it, the transaction will be subject to Strong Customer Authentication (SCA) under the Payment Services Regulations 2017 / PSD2. This typically takes the form of a 3-D Secure 2 ("3DS2") challenge, one-time password sent to your registered mobile, biometric authorisation in your banking app, or address-verification (AVS) check. You agree to complete any such challenge promptly; failure to do so will cause the transaction to decline and the Order to be cancelled.

We reserve the absolute right to decline or cancel any Order where: (a) the card is declined by the issuer or scheme; (b) AVS, CVV or 3DS authentication fails or returns a mismatch; (c) our fraud-screening rules flag the transaction as suspicious; (d) the billing or shipping address appears inconsistent, mis-keyed or non-existent; (e) the IP address, device fingerprint, velocity pattern or any other risk signal indicates a meaningful risk of fraud or money-laundering; or (f) we are required to decline by our card processor, acquiring bank or any applicable law, sanctions regime or scheme rule. Where we decline an Order under this clause we will refund any authorisation hold in full and explain by email; we are not required to disclose the specific risk indicator that triggered the decline.

Currency: card payments are taken in GBP. If your card is denominated in another currency, your issuer may apply a foreign-exchange conversion, fee or differential rate; that is a matter between you and your issuer and we are not party to or responsible for it.

7.3. Strong Customer Authentication & Liability

Where the Payment Services Regulations 2017 require Strong Customer Authentication and that authentication has been successfully completed in the course of your transaction, you accept that the transaction is treated by us, by your card issuer and by the relevant card scheme as a customer-present, customer-authenticated transaction.

You expressly acknowledge that, in line with the liability-shift rules of the Visa, Mastercard and American Express scheme rules and Article 74 of PSD2, you remain liable for any transaction that you (or any person you authorised) personally authenticated, save for cases of demonstrable fraud or technical failure on the part of the payment infrastructure.

7.4. Chargebacks, Disputes & Friendly Fraud

If you wish to raise a concern about an Order or a charge, you MUST contact us first at info@peptigenlabs.co.uk quoting your order number and giving us a reasonable opportunity (no less than seven (7) calendar days) to investigate and resolve the matter before escalating to your card issuer, bank or any payment scheme. Peptigen Labs operates a fair-resolution policy and the overwhelming majority of issues raised with us directly are resolved promptly and without dispute.

Where you escalate a charge to chargeback, dispute or reversal in breach of the obligation set out above, or where the chargeback is ultimately determined against you (whether by withdrawal, scheme decision, voluntary settlement or otherwise), you agree to pay Peptigen Labs, on demand and as a liquidated and agreed contribution to our administrative, evidence-gathering and dispute-handling costs: (a) a fixed chargeback-handling fee of £25 (twenty-five pounds sterling) per chargeback; PLUS (b) the full value of the disputed transaction; PLUS (c) any chargeback, retrieval or representment fee passed through to us by our card processor or acquiring bank; PLUS (d) the cost of any Goods we have already dispatched in respect of the disputed Order. You acknowledge that £25 is a genuine pre-estimate of our administrative cost of handling a chargeback and is not a penalty.

Where you commence a chargeback, dispute or reversal that we (acting reasonably) believe to be vexatious, dishonest, or knowingly inconsistent with the position you took or the representations you made at the point of Order (so-called "friendly fraud"), you agree that: (i) we may share evidence of the transaction, your communications with us, your delivery confirmation, any 3DS / SCA authentication record, IP / device fingerprint and the items above with our card processor, acquiring bank, the relevant card scheme and any law-enforcement or fraud-prevention agency we reasonably consider appropriate, including (without limitation) the National Fraud Intelligence Bureau (Action Fraud) and Cifas, in each case in compliance with our Privacy Policy and UK data-protection law; and (ii) we may refuse all further Orders from you, suspend or close any account, and pursue the amounts owed (including under this clause 7.4) through any lawful means including debt collection and small-claims court proceedings.

You expressly agree to cooperate in good faith with any chargeback investigation initiated by us, our card processor, your card issuer or a card scheme. Failure to cooperate (including failure to respond to a reasonable request for information within ten (10) calendar days) is itself a material breach of these Terms.

7.5. No Stored Cards · No Recurring Charges

Peptigen Labs does not currently operate a saved-card, card-on-file, recurring-billing, subscription, instalment or auto-renew service. Every Order requires you to re-enter your card details (or initiate a fresh bank transfer) at checkout. We will never charge your card outside of the specific Order you have placed.

8. Stock, Availability & Substitution

Stock status on the Website is updated in near-real time but may, occasionally, be out of date. If a Product becomes unavailable after your Order, we will contact you within one UK working day with the option of a replacement batch, a hold, or a full refund of the affected line.

We do not substitute products, brands, strengths or batches without your express written consent.

9. Dispatch, Delivery & Risk

Eligible in-stock Orders placed before 14:00 GMT on a UK working day are typically dispatched the same working day. Orders placed after the cut-off, at weekends or on UK bank holidays are processed the next working day. Same-day dispatch is a target, not a guarantee.

Delivery is by tracked UK courier, typically next working day. Delivery timings are estimates provided by the courier and are outside of Peptigen Labs' direct control. We are not liable for delivery delays caused by the courier, weather, industrial action, customs handling or any cause beyond our reasonable control.

Risk in the Goods passes to you on physical delivery to the address you provided at checkout (or on first attempted delivery where the courier is unable to complete delivery due to the address being unattended, incorrect or inaccessible).

Title in the Goods passes to you only on receipt in full of cleared payment.

You are responsible for ensuring someone competent is available to receive and properly store the Goods on delivery. Where you (or the address you specified) are responsible for a failed delivery, any redelivery, redirection or return-to-sender fees are payable by you.

10. Cancellation

The Goods are supplied to you as a qualified researcher / business-to-business buyer for laboratory research use and, where applicable, are excluded from the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 as they are sealed goods which are not suitable for return for health-protection, hygiene or research-traceability reasons once their seal has been broken or their integrity compromised.

Where your Order has not yet been dispatched, you may request cancellation by emailing info@peptigenlabs.co.uk with your order number. We will confirm cancellation in writing.

Once Goods have been dispatched, cancellation is no longer available; returns are then governed by clause 11.

11. Returns & Refunds

Due to the research-use-only nature of our products and the integrity requirements of laboratory research materials, returns are accepted ONLY where (a) the Goods are demonstrably faulty at delivery, (b) damaged in transit and reported within 48 hours of delivery, or (c) supplied in error by us.

Used, opened, tampered with or integrity-compromised Goods cannot be returned for hygiene, sealed-goods and research-traceability reasons.

To start a valid return: email info@peptigenlabs.co.uk within 14 calendar days of delivery, quoting your order number and batch number and attaching clear photographic evidence. Do NOT dispose of the Goods until we have confirmed a return route.

Approved refunds are processed within seven (7) working days of the returned item being received and inspected. Refunds are always issued to the original payment method: bank-transfer refunds typically clear back into your account within 1–3 working days of issue; card refunds are subject to your card issuer's processing timelines and typically clear within 5–10 working days of issue. Peptigen Labs is not responsible for delays caused by your card issuer once the refund has been despatched from our payment processor.

Nothing in this clause affects your non-excludable statutory rights (where applicable).

12. Warranties

We warrant that, at the time of dispatch, the Goods conform to the specification stated on the relevant product page and, where a Certificate of Analysis is supplied, to the purity declared on that Certificate. No other warranties, express or implied, are given.

To the fullest extent permitted by law, all other warranties, conditions and terms (whether express or implied by statute, common law or otherwise, including any implied condition as to satisfactory quality, fitness for a particular purpose or description) are excluded in respect of research-use-only business-to-business supplies.

You acknowledge that Goods are supplied strictly for laboratory research and that you are solely responsible for determining suitability for your intended research purpose.

13. Limitation of Liability

Nothing in these Terms limits or excludes Peptigen Labs Ltd's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of section 12 of the Sale of Goods Act 1979 (title); or (d) any other liability that cannot lawfully be limited or excluded under English law.

Subject to the preceding paragraph, Peptigen Labs Ltd's total aggregate liability to you in contract, tort (including negligence), breach of statutory duty or otherwise arising under or in connection with any Contract is limited to the total price paid by you for that specific Order.

We shall not be liable, in any circumstances, for any of the following types of loss (whether or not foreseeable and whether or not we were advised of the possibility): (i) loss of profits, revenue, business, contracts, anticipated savings or goodwill; (ii) loss or corruption of research data, samples, experiments, cells, animals, publications or grant outcomes; (iii) loss of production, downtime, laboratory time or equipment utilisation; (iv) any third-party claim; (v) any loss arising from non-research use of the Goods; (vi) any indirect, special or consequential loss.

You acknowledge that the allocation of risk reflected in this clause 13 is reasonable in the context of business-to-business research supply at the price paid for the Goods.

14. Indemnity

You agree to indemnify, defend and hold harmless Peptigen Labs Ltd, its directors, officers, employees and agents on a full indemnity basis against all claims, demands, actions, proceedings, damages, losses, fines, penalties, reasonable legal and professional costs (including on a solicitor-and-own-client basis) and expenses of any nature suffered or incurred by any of them arising from or in connection with: (a) your breach of these Terms; (b) your non-research use, misuse, onward supply, administration or application of the Goods; (c) any claim by a third party (including any person to whom you supplied or administered the Goods) alleging injury, loss or damage in connection with the Goods; (d) any breach of applicable export, sanctions or controlled-substance regimes caused by you; and (e) any fraudulent, negligent or unlawful act or omission on your part.

15. Intellectual Property

All content on the Website — including text, imagery, product photography, logos, branding, labels, packaging, graphics and layout — is owned by or licensed to Peptigen Labs Ltd and is protected by UK and international intellectual property laws.

You are granted a limited, revocable, non-exclusive licence to view and use the Website for the purpose of lawfully browsing and placing Orders. You shall not reproduce, republish, scrape, resell, frame, copy, adapt or create derivative works of any part of the Website, the product photography or any product labelling, without our prior written consent.

No right, title or licence in our trade marks or branding is granted to you by your purchase of any Goods.

16. Confidentiality & Data

Each party agrees to keep confidential any non-public information disclosed to it by the other in connection with a Contract, except as required to perform its obligations or by applicable law.

Our handling of your personal data is described in our Privacy Policy.

17. Export Control & Sanctions

You are responsible for ensuring that your purchase, possession, use and any onward handling of the Goods complies with all applicable export-control, sanctions, customs and import laws and regulations. The Goods are supplied within the United Kingdom only. Any onward movement outside the United Kingdom is at your sole risk and responsibility.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations caused by an event beyond our reasonable control, including (without limitation) acts of God, war, terrorism, civil unrest, pandemic, epidemic, governmental action, industrial action, failure of utilities or communications networks, cyber-attack, courier failure, failure of third-party suppliers, fire, flood, severe weather or transport disruption.

19. Variation

We may update these Terms from time to time. The version displayed on the Website at the time your Order is placed is the version that governs that Contract. Material changes will be flagged on the Website.

20. Assignment

You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer or sub-contract any of our rights or obligations at any time.

21. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, invalid or unenforceable, that provision shall be modified to the minimum extent necessary to render it valid and enforceable; the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Shipping Policy, Returns Policy, Disclaimer and Research-Use Statement, constitute the entire agreement between you and Peptigen Labs Ltd in relation to the Contract and supersede all prior agreements, representations and understandings.

You confirm that you have not relied on any statement, promise, representation, assurance or warranty which is not set out in these Terms. Nothing in this clause excludes liability for fraud.

23. Third-Party Rights

A person who is not a party to the Contract shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

24. Waiver

No failure or delay by Peptigen Labs in exercising any right under these Terms shall operate as a waiver of that right. A waiver of any right is only effective if given in writing.

25. Notices

All notices to Peptigen Labs shall be sent to info@peptigenlabs.co.uk. Notices from us to you will be sent to the email address associated with your Order and are deemed received on the day of sending.

26. Governing Law & Jurisdiction

These Terms, any Contract and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or any Contract.

27. Complaints & Contact

Peptigen Labs aims to resolve any complaint fairly, promptly and transparently. Please email info@peptigenlabs.co.uk in the first instance, quoting your order number where applicable. We will acknowledge within two working days.
